Registered Agents and Registered Offices Connecticut Corporate Statutes require each Corporation that is formed in Connecticut to continuously maintain a Registered Office and Registered Agent within the State of Connecticut. The Registered Agent may be an individual or a corporation; provided that such individual or corporation must maintain a Registered Office within the State of Connecticut. A corporation that is designated as Registered Agent for another corporation must either be a Connecticut corporation or a corporation that is registered o do business in the State of Connecticut. At the time of Incorporation, the Registered Agent must execute an acceptance of its appointment as a Registered Agent and that the Registered Agent is familiar with and accepts responsibilities as Registered Agent. The Registered Agent must sign this statement and it should be submitted to the Secretary of State attached to the Articles of Incorporation. Under Connecticut Law, the Registered Agent agrees to accept service of legal process on the Corporation. Connecticut Statutes state as follows: 10-501. Known place of business and statutory agent Each corporation shall continuously maintain in this state both: 1. A known place of business that may be the address of its statutory agent. 2. A statutory agent who may be either: (a) An individual who resides in this state. (b) A domestic corporation formed under this title. (c) A foreign corporation authorized to transact business in this state. (d) A limited liability company formed under title 29. (e) A limited liability company authorized to transact business in this state.
